By installing or using Mindmic, you agree to these Terms. If you do not agree, don't use the app. Mindmic is provided by Nomisma LLC, United States.
We grant you a limited, non-exclusive, non-transferable, revocable license to use Mindmic for personal, non-commercial purposes, subject to these Terms and Apple's App Store Terms of Use.
You own everything you record. Recordings stay on your device — we do not host them. You are responsible for having the right to record any other person you capture, and for complying with local recording-consent laws, including two-party / all-party consent rules where they apply.
Don't use Mindmic to:
All purchases are processed by Apple via the App Store. Apple handles billing, refunds, and cancellation. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. Manage subscriptions in Settings → Apple ID → Subscriptions. See Pricing for the full breakdown.
You are responsible for activity under your account. You may delete your account at any time from Profile → Danger Zone → Delete my account.
THE APP, THE SERVICE, AND ALL CONTENT THEREIN ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. NOMISMA LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE APP AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMISMA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NOMISMA LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL NOMISMA LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO NOMISMA LLC FOR THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY — IN THOSE JURISDICTIONS, LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Nomisma LLC and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, demands, actions, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising from or relating to: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any law or any right of any third party, including intellectual property, privacy, publicity, or contract rights; (d) any content you record, upload, or share through or in connection with the App; or (e) any dispute between you and another user or third party. Nomisma LLC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense.
Please read this section carefully — it affects your legal rights.
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the App ("Dispute") shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Sheridan, Wyoming, or by telephone or video conference at the AAA's discretion. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
You and Nomisma LLC each waive any right to a jury trial.
Class-action waiver: You and Nomisma LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
If any portion of this section is found unenforceable, the remainder remains in effect. The parties may seek injunctive relief in court for intellectual-property infringement and small-claims matters as a carve-out from this arbitration agreement.
30-day opt-out: You may opt out of this arbitration agreement by emailing support@mindmic.info within 30 days of first installing the App with the subject line "Arbitration opt-out." Opting out does not affect any other part of these Terms.
Nomisma LLC shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters (earthquake, fire, flood), pandemics, epidemics, government action, war, terrorism, civil unrest, labor disputes, power or internet failures, third-party infrastructure outages (including outages of Amazon Web Services, Apple, telecommunications providers, or any other vendor we depend on), or any other event of similar nature. During such events, Nomisma LLC's obligations are suspended for the duration of the event.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nomisma LLC regarding the App, and supersede any prior agreements.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Subject to the Arbitration section above, any judicial proceeding permitted under these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and the parties consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
We may update these Terms from time to time. If we make material changes, we will surface a notice in the App and update the Effective Date above. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
